Duty to notify and indemnify

You realize and agree that your consent to do so is an essential component of these terms and conditions. You also agree that if you stop using your mobile telephone number without notifying us, you will be liable for any costs (including attorneys' fees) and liabilities incurred by us, or any party that assists in the delivery of the mobile messages, as a result of claims brought by individuals who are later assigned that mobile telephone number. This responsibility and commitment will survive any cancellation or termination of your agreement to participate in any of our programs.

DISCLAIMER OF WARRANTY
The Programs are provided "as-is" and may not be available in all regions at all times, nor may they continue to operate if your cellular carrier makes product, software, coverage, or other modifications. We shall not be held accountable for any delays or difficulties in the reception of mobile texts associated with any Program. Mobile message delivery is dependent on your cellular service provider/network operator's successful transmission, which is beyond our control. We are not accountable for any mobile texts that are delayed or not delivered.
PARTICIPANT'S DEVICE AND SERVICE REQUIREMENTS
You must have a cellular device of your own, capable of 2-way texting, be using a participating wireless carrier, and be a wireless service subscriber with text messaging service. Not all cellular phone carriers provide the required service to participate. For precise text messaging instructions, check your phone's capabilities.
Participant's Age
Children under the age of 13 may not engage in any Program, and their parents or legal guardians may not consent to these Terms on their behalf. If we learn that a child under the age of 13 has supplied or tried to supply us with personal information, we will make every effort to permanently erase the information from our systems. If you are under the age of 18 but at least 13 years old, you may engage in any Program only with the supervision of a parent or legal guardian who agrees to be bound by the Terms. If you are a parent or legal guardian consenting to these Terms for the benefit of a child aged 13 to 18, please be aware that you are completely responsible for his or her participation in any Program, including, without limitation, any legal responsibility that he or she may incur.
PRIVACY POLICY
We value your privacy. We will only use the information you supply to convey your mobile messages and react to you as needed. This includes providing information to our program partners, message content suppliers, phone carriers, and vendors that help us deliver mobile communications. EXCEPT AS SET FORTH IN THIS SECTION, WE DO NOT SELL, RENT, LOAN, TRADE, LEASE, OR OTHERWISE TRANSFER FOR PROFIT ANY PHONE NUMBERS OR CUSTOMER INFORMATION COLLECTED THROUGH PROGRAMS TO ANY THIRD PARTY. However, we reserve the right to disclose any information as necessary to comply with any law, regulation, or governmental request, to avoid liability, or to protect our rights or property. When you fill out online forms or supply us with information in connection with a Program, you promise to provide accurate, full, and genuine information. You promise not to use a name that is untrue or deceptive, or that you are not allowed to use. If we determine, in our sole judgment, that any such information is false, incorrect, or incomplete, or that you have opted into a Program for an ulterior motive, we may deny you access to the Program and seek any necessary legal remedies.
This Privacy Policy and Terms & Conditions are exclusive to these Programs and have no bearing on any other privacy policies that may govern your interaction with us in other settings.
Governing Law
This Agreement is governed by the laws of the State of Nevada, without regard for conflict of laws considerations. Any litigation to enforce this Agreement shall be filed only in the State and United States. District Courts situated in Las Vegas, Nevada, and the Parties hereby consent to their personal jurisdiction and waive any venue objections.
MISCELLANEOUS
You guarantee and represent to us that you have all essential rights, power, and authority to agree to these Terms and fulfill your responsibilities hereunder, and that nothing in this Agreement or the performance of such obligations will cause you to break any other contract or duty. The failure of either party to exercise any of the rights granted herein in any way will not be construed as a waiver of any additional rights under this agreement. If any term of these Terms is found to be unenforceable or invalid, it will be reduced or removed to the extent required to ensure that this Agreement remains in full force and effect and enforceable. Any new features, modifications, updates, or upgrades to any Program are subject to these Terms unless expressly specified differently in writing. We retain the right to amend these terms from time to time. Any modifications to these Terms will be disclosed to you. You accept that it is your duty to examine these Terms from time to time and be informed of any changes. By continuing to participate in any Program after any such modifications, you agree to the Terms as updated.

DISPUTE RESOLUTION GENERAL
In the interest of resolving disputes between you and Cosmic Media LLC in the most expedient and cost effective manner, you and Cosmic Media LLC agree that any dispute arising out of or in any way related to these messaging terms and conditions ("Messaging Terms") or your receipt of text messages from Cosmic Media LLC or its service providers will be resolved by binding arbitration. Arbitration is less formal than filing a case in court. Arbitration, which utilizes a neutral arbitrator rather than a judge or jury, may allow for more restricted discovery than in court and is subject to extremely limited judicial review. Arbitrators have the same authority to award damages and relief as courts do. This agreement to arbitrate disputes applies to all claims arising from or in any way related to these Messaging Terms, or your receipt of text messages from Cosmic Media LLC or its service providers, whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of when the claim arises. YOU UNDERSTAND AND AGREE THAT, BY AGREEING TO THESE MESSAGING TERMS, YOU AND COSMIC MEDIA LLC ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, AND THAT THESE MESSAGING TERMS SHALL BE SUBJECT TO AND GOVERNED BY THE FEDERAL ARBITRATION ACT.Exceptions. Notwithstanding subsection (a) above, nothing in these Messaging Terms will be deemed to waive, preclude, or otherwise limit your or Cosmic Media LLC's right to: (i) bring an individual Any arbitration between you and Cosmic Media LLC will be governed by the Federal Arbitration Act and the Commercial Dispute Resolution Procedures and Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Messaging Terms," and will be administered by the AAA. The Notice must: (i) identify the nature and grounds of the claim or dispute; and (ii) specify the remedies sought ("Demand"). You and Cosmic Media LLC will make good faith attempts to settle the claim directly; but, if you and Cosmic Media LLC cannot reach an agreement within 30 days of receiving the Notice, you or Cosmic Media LLC may initiate an arbitration action. During the arbitration, the amount of any settlement offer made by you or Cosmic Media LLC must not be revealed to the arbitrator until the arbitrator issues a final judgment and award, if any. (f) Fees. If you initiate arbitration in accordance with these Messaging Terms, Cosmic Media LLC will refund you for the filing cost, unless your claim exceeds $15,000 or as specified below, in which case the payment of any fees will be determined by the AAA Rules. If your claim is for $15,000 or less, you may select whether the arbitration will be conducted entirely on the basis of papers provided to the arbitrator, via a non-appearance-based telephone hearing, or through an in-person hearing as specified by the AAA Rules. If the arbitrator determines that the substance of your claim or the remedy sought in the Demand is frivolous or made for an inappropriate purpose (as defined by Federal Rule of Civil Procedure 11(b)), the payment of all fees shall be determined by the AAA Rules. In such instance, you undertake to refund Cosmic Media LLC for any amounts already disbursed by it that you are otherwise obligated to pay under AAA Rules. Regardless of how the arbitration is conducted, the arbitrator must give a reasoned written judgment that explains the important facts and conclusions upon which the decision and, if any, award are based. You and Cosmic Media LLC agree that any written decision and information exchanged during arbitration will be kept secret, save to the extent required to enforce or allow limited judicial review of the award. The arbitrator may rule and settle disputes about the payment and reimbursement of costs or expenses at any point during the action, and upon request from you or Cosmic Media LLC made within 14 days following the arbitrator's decision on the merits. There are no class actions. Unless both you and Cosmic Media LLC agree otherwise in writing, the arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding. You and Cosmic Media LLC also agree that you and Cosmic Media LLC may only bring claims against each other in an individual capacity, not as a plaintiff or class member in any alleged class or representative proceeding. Regardless of anything to the contrary in these Messaging Terms, if Cosmic Media LLC makes any future change to this arbitration provision, other than a change to Cosmic Media LLC address for Notice, you may reject the change by sending us written notice within 30 days of the change to Cosmic Media LLC address for Notice, in which case this arbitration provision, as in effect immediately prior to the changes you rejected, will continue to govern any disputes between you. If any other provision of these Messaging Terms is determined to be unenforceable, the corresponding provision shall be struck, and the rest of these Messaging Terms shall continue in full force and effect.
CHANGES TO MESSAGING TERMS
We have the right to stop or modify our messaging program at any time. We also retain the right to amend these Messaging Terms at any time, and such changes will become effective immediately upon publishing. Your continuing enrollment after such modifications constitutes your acceptance of the changes.
